Terms of Service

1. Introduction and Acceptance of Terms
These Terms of Service (“Terms”) govern your access to and use of the services provided by PulsePoint Street Insights, a street-interview business operating in the Philippines (“PulsePoint Street Insights,” “we,” “us,” or “our”). By engaging our services, requesting a quotation, signing an order form or service agreement, paying any invoice, or otherwise using our services, you acknowledge that you have read, understood, and agree to be bound by these Terms.
If you are entering into these Terms on behalf of a company, organization, or other legal entity, you represent and warrant that you have the authority to bind that entity to these Terms. If you do not agree to these Terms, you must not use our services.
These Terms are intended to be interpreted in accordance with applicable laws of the Republic of the Philippines, including the Civil Code of the Philippines, the Data Privacy Act of 2012 (Republic Act No. 10173), the Consumer Act of the Philippines where applicable, the Intellectual Property Code of the Philippines, and other relevant laws and regulations.
2. Scope of Services
PulsePoint Street Insights provides street-interview and location-based research services, which may include, without limitation:
- Street opinion interviews for brand research;
- Quick consumer feedback collection in high-traffic areas;
- Video street interviews for campaigns and social content;
- Public sentiment checks on products, events, and issues; and
- Location-based audience sampling and intercept surveys.
Our services may involve planning, fieldwork, respondent screening, interview administration, audio/video recording, transcription, summarization, analysis, and delivery of reports or raw materials, depending on the agreed scope of work.
Any deliverables, timelines, sample sizes, locations, scripts, questionnaires, formats, usage rights, and other project-specific details will be set out in a quotation, proposal, statement of work, service agreement, or other written confirmation issued by PulsePoint Street Insights and accepted by the client (“Client”). In the event of any conflict, the project-specific written agreement shall prevail over these Terms to the extent of the inconsistency.
We reserve the right to refuse, suspend, or discontinue any project that is unlawful, unsafe, unethical, operationally impracticable, or inconsistent with our internal policies or applicable law.
3. User Obligations and Responsibilities
As a Client, you agree to:
- Provide accurate, complete, and timely information necessary for us to perform the services;
- Ensure that any materials, scripts, questions, branding, claims, or instructions you provide are lawful, non-infringing, and not misleading;
- Obtain all approvals, permits, consents, and authorizations required for your intended use of the services and deliverables, including any venue permissions or local government clearances if applicable to the project;
- Comply with all applicable laws, ordinances, and regulations relating to your campaign, research, or use of the deliverables;
- Not request or require us to engage in harassment, deception, unlawful surveillance, discriminatory conduct, or any activity that violates privacy, safety, election, advertising, or consumer protection laws;
- Respect the rights, dignity, and safety of respondents, field staff, and third parties;
- Promptly review deliverables and provide feedback or approvals within the agreed timeframe;
- Pay all fees and charges when due; and
- Indemnify and hold harmless PulsePoint Street Insights from claims arising from Client-provided content, instructions, or misuse of deliverables, except to the extent caused by our gross negligence or willful misconduct.
You acknowledge that street-interview work may be affected by weather, crowd conditions, local restrictions, respondent availability, and other field realities. We are not responsible for delays or reduced sample quality caused by factors outside our reasonable control, provided we act in good faith and with commercially reasonable efforts.
4. Payment Terms and Conditions
Fees for services shall be as stated in the applicable quotation, proposal, invoice, or service agreement. Unless otherwise agreed in writing:
- All prices are quoted in Philippine Pesos (PHP) and may be subject to applicable taxes, including value-added tax if applicable;
- A deposit, retainer, or advance payment may be required before work begins;
- Invoices are due within the period stated on the invoice or, if none is stated, within seven (7) calendar days from issuance;
- Late payments may result in suspension of services, withholding of deliverables, or rescheduling of fieldwork;
- Any bank charges, remittance fees, or payment processing fees shall be borne by the Client unless otherwise agreed;
- Additional costs arising from Client-requested changes, extended field hours, extra locations, re-shoots, re-interviews, rush work, or unforeseen operational requirements may be billed separately with prior notice where practicable.
We may require written approval for any material change in scope. If the Client delays approvals, materials, access, or feedback, we may adjust timelines and fees accordingly.
Except where prohibited by law or expressly agreed in writing, fees paid are non-transferable and non-creditable to unrelated projects.
5. Cancellation and Refund Policy
Because our services involve scheduling personnel, securing locations, and conducting time-sensitive fieldwork, cancellations may result in non-recoverable costs. Unless otherwise stated in a project-specific agreement:
- If the Client cancels before fieldwork or production begins, any non-refundable deposit may be retained to cover administrative and scheduling costs;
- If the Client cancels after work has commenced, the Client shall pay for all completed work, committed costs, and reasonable cancellation charges;
- If the Client requests postponement, we may accommodate rescheduling subject to availability and may charge a rescheduling fee if costs have already been incurred;
- No refund will be issued for services already performed, deliverables already produced, or costs already incurred in good faith;
- Refunds, if any, are at our discretion and will be limited to amounts actually received by us for undelivered portions of the services, less any non-recoverable expenses.
We may cancel or suspend a project if the Client breaches these Terms, fails to make payment, provides unlawful instructions, or creates unsafe conditions for field personnel. In such cases, the Client remains liable for work performed and costs incurred up to the date of cancellation or suspension.
6. Liability Limitations
To the fullest extent permitted by Philippine law, PulsePoint Street Insights shall not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, including loss of profits, loss of business opportunity, loss of goodwill, or loss of data, arising out of or related to the services or these Terms, even if advised of the possibility of such damages.
Our total aggregate liability for any claim arising out of or relating to the services or these Terms shall not exceed the total fees actually paid by the Client to PulsePoint Street Insights for the specific service giving rise to the claim during the three (3) months preceding the event giving rise to liability, or the amount required by law, whichever is greater.
We do not guarantee specific respondent demographics, response rates, public sentiment outcomes, virality, campaign performance, sales results, or any particular business outcome. Street-interview and intercept research are inherently subject to sampling limitations and real-world variability.
Nothing in these Terms shall exclude or limit liability that cannot be excluded or limited under applicable law, including liability for fraud, gross negligence, willful misconduct, or other liability that may not lawfully be limited.
7. Intellectual Property Rights
Unless otherwise agreed in writing:
- All pre-existing intellectual property, methodologies, templates, tools, processes, know-how, and systems used by PulsePoint Street Insights remain our exclusive property;
- Upon full payment of all applicable fees, the Client receives a non-exclusive, non-transferable license to use the final deliverables for the internal business purposes or other uses expressly stated in the project agreement;
- Raw footage, raw audio, field notes, transcripts, datasets, and working files will be provided only if expressly included in the scope of work;
- We may retain copies of deliverables and project materials for recordkeeping, quality assurance, legal compliance, and portfolio or case-study purposes, subject to confidentiality obligations and applicable privacy laws;
- The Client shall not remove proprietary notices, reverse engineer our tools or methods, or use our deliverables in a manner that infringes third-party rights.
If the Client supplies logos, trademarks, scripts, music, images, or other materials, the Client represents that it has all necessary rights and permissions to use them and to authorize us to use them for the project.
8. Data Protection and Privacy
PulsePoint Street Insights is committed to protecting personal data in accordance with the Data Privacy Act of 2012 and its implementing rules and regulations, as well as other applicable privacy and data protection laws in the Philippines.
In the course of providing services, we may collect, use, store, disclose, and process personal data, including respondent images, voice recordings, video recordings, interview responses, contact details, location data, and other information necessary for research and operational purposes. We will process personal data only for legitimate, specified, and lawful purposes, and only to the extent necessary for the project or as otherwise permitted by law.
The Client acknowledges and agrees that:
- Respondents may need to be informed about the nature of the interview, the purpose of data collection, and any recording activity, as required by law and project design;
- Where consent is required for recording or use of personal data, the Client authorizes us to obtain such consent in a lawful and appropriate manner, or the Client shall provide the necessary consent language and legal basis in advance;
- The Client is responsible for ensuring that any intended downstream use of deliverables complies with privacy laws, including any publication, advertising, public posting, or sharing of identifiable respondent content;
- We may anonymize, aggregate, or pseudonymize data where appropriate;
- We may disclose personal data when required by law, court order, or lawful government request, or to protect rights, safety, and security.
We implement reasonable organizational, physical, and technical safeguards designed to protect personal data. However, no method of transmission or storage is completely secure, and we cannot guarantee absolute security.

9. Force Majeure
PulsePoint Street Insights shall not be liable for any delay or failure to perform caused by events beyond our reasonable control, including but not limited to:
- Natural disasters, severe weather, floods, earthquakes, fire, or epidemics/pandemics;
- Government actions, permits, restrictions, curfews, road closures, or public order issues;
- Labor disputes, strikes, transportation disruptions, or utility failures;
- Acts of war, terrorism, civil unrest, riots, or public disturbances;
- Telecommunications, internet, or power outages;
- Any similar event beyond our reasonable control.
In the event of force majeure, we may suspend, reschedule, or modify performance for the duration of the event. We will use commercially reasonable efforts to mitigate the impact and resume services as soon as practicable.
10. Changes to Terms
We may revise these Terms from time to time to reflect changes in our services, legal requirements, operational practices, or business needs. Updated Terms will be effective upon posting or upon notice to the Client, whichever is earlier or as otherwise stated in the notice.
For ongoing projects, material changes will not retroactively alter obligations already accrued unless required by law or expressly agreed in writing. Continued use of our services after the effective date of revised Terms constitutes acceptance of the updated Terms.
11. Applicable Law and Jurisdiction
These Terms shall be governed by and construed in accordance with the laws of the Republic of the Philippines, without regard to conflict of law principles.
Any dispute, controversy, or claim arising out of or relating to these Terms or the services shall first be addressed through good-faith negotiations between the parties. If the dispute is not resolved within thirty (30) days from written notice of the dispute, the parties agree to submit to the exclusive jurisdiction of the proper courts of Quezon City, Metro Manila, Philippines, to the extent permitted by law.
Nothing in this section shall prevent either party from seeking injunctive or equitable relief in a court of competent jurisdiction where necessary to protect confidential information, intellectual property rights, privacy rights, or other legal interests.

Notices shall be deemed received when actually delivered by email, courier, or personal delivery to the contact details above, subject to proof of transmission or receipt where applicable.
13. Severability Clause
If any provision of these Terms is held to be invalid, illegal, void, or unenforceable by a court of competent jurisdiction, that provision shall be enforced to the maximum extent permitted by law, and the remaining provisions shall continue in full force and effect.
If any invalid or unenforceable provision can be modified to make it valid and enforceable, the provision shall be deemed modified to the minimum extent necessary to achieve such validity and enforceability while preserving the original intent as closely as possible.
